DCG Seller Onboarding Agreement – Digital Version

DCG RePac and DCGpac as used on the site and application are trade names of DCG Tech Limited (hereinafter referred to as “DCG”).

By registering as a Seller on the DCG platform, you confirm that you have read, understood, and agree to the following terms and conditions. Please read carefully and check each box to acknowledge your agreement.

1. Acceptance of Terms

✦ I acknowledge and agree to abide by all terms and conditions set by DCG.
✦ I understand that continuing to use the platform constitutes acceptance of these Terms.

2. Fees and Charges

✦ I agree to pay all applicable fees including Listing Charges, Platform Fees, and Storage Charges as communicated by DCG.
✦ I understand that these fees may be revised at DCG’s discretion.

3. GST and Tax Compliance

✦ I confirm that all products listed comply with applicable GST laws.
✦ I understand that GST is payable as per applicable rates, and reverse charge may apply if I do not have GST registration.
✦ I confirm that I will provide valid GST registration if available to claim benefits under GST law.

4. Ownership and Authenticity

✦ I confirm that I am the lawful owner of all products listed on DCG Platform.
✦ I understand that unauthorized listing of third-party-owned products is prohibited, and DCG may cancel listings or transactions in case of violation.

5. Privacy and Data Protection

✦ I understand that my personal information will be handled at DCG according to as per applicable laws in India.

✦ I consent to electronic communications, including notices, agreements, and promotional messages from DCG.

6. Intellectual Property, Content, and Trademarks

✦ I acknowledge that all content, logos, and trademarks on the DCG platform are protected by Indian and international laws.
✦ I will not reproduce, distribute, or exploit any platform content without DCG’s written consent.
✦ I confirm that I own or have rights to all products and content listed and will indemnify DCG for any violation of intellectual property rights.

7. Use Restrictions and Prohibited Activities

✦ I will not use the platform for fraudulent, unlawful, or harmful purposes.
✦ I will not upload content that is offensive, misleading, unlawful, or violates third-party rights.
✦ I understand DCG may remove content or refuse service at its sole discretion.

8. Disclaimer of Warranties

✦ I understand that the platform is provided on an “as-is” and “as-available” basis.
✦ I acknowledge that DCG does not guarantee accuracy or completeness of platform information.

9. Limitation of Liability

✦ I release DCG, its affiliates, and officers from any claims arising from my use of the platform.

10. Indemnification

✦ I agree to indemnify and hold harmless DCG, its affiliates, officers, and employees from any claims, penalties, or damages arising from violation of these Terms.

11. Termination

✦ I understand that DCG may suspend or terminate my account for violation of these Terms.
✦ I acknowledge that all fees and obligations accrued before termination remain payable.

12. Governing Law and Jurisdiction

✦ I agree that this Agreement is governed by Indian law.
✦ I agree that any disputes will be subject to the exclusive jurisdiction of the Courts of Gurugram, Haryana.

13. Waiver

✦ I understand that if I breach these Terms and DCG takes no action, DCG is still entitled to exercise its rights and remedies in any other situation where I breach these Terms.

14. Miscellaneous

✦ I understand that DCG may modify the platform, policies, or Terms at any time.
✦ I acknowledge that any provision found unenforceable will not affect the remaining Terms.
✦ I accept that events beyond DCG’s reasonable control will not constitute a breach of these Terms.
